Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you", "your", "Customer") and Inventum Technologies Pty Ltd ("Rivion", "we", "our", "us"), governing your access to and use of the Rivion platform at rivion.ai and crm.rivion.ai.

By creating an account or using the platform, you agree to these Terms. If you're using Rivion on behalf of a company, you confirm you have authority to bind that company to these Terms.

1. The Service

Rivion is an AI-native CRM platform that provides omnichannel customer communication (WhatsApp, Instagram, Facebook Messenger, Telegram, SMS, voice), autonomous AI sales and support agents, telecalling tools, payment collection, workflow automation, and analytics.

We may add, modify, or discontinue features with reasonable notice. Core functionality covered by your paid plan won't be removed without 90 days' notice.

2. Account Registration

You must provide accurate, current information when creating an account. Keep your login credentials secure — you're responsible for all activity under your account.

One person or entity may not maintain multiple free accounts. We reserve the right to suspend accounts that appear to circumvent plan limitations.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use Rivion.

3. Acceptable Use

You agree to use Rivion for lawful business purposes only. Specifically, you will not:

  • Send spam, unsolicited messages, or bulk communications that violate anti-spam laws (CAN-SPAM, GDPR, PECR)
  • Use AI agents to impersonate real people or deceive consumers about the AI nature of conversations (where such disclosure is required by law)
  • Process data in violation of data protection laws (GDPR, CCPA, POPIA, or others applicable to you)
  • Harass, threaten, or abuse any individual through the platform
  • Distribute malware, exploit vulnerabilities, or attempt unauthorized access
  • Use the platform for illegal activities including fraud, money laundering, or sanctions violations
  • Resell or sublicense access to Rivion without our written consent
  • Reverse-engineer, decompile, or extract source code from the platform

We may suspend or terminate accounts that violate these terms without refund.

4. AI Agent Responsibility

Rivion's AI agents operate according to the persona, knowledge base, pricing rules, and escalation settings you configure. You are responsible for:

  • Ensuring your AI agent's responses comply with applicable consumer protection, advertising, and privacy laws
  • Reviewing and approving the knowledge base, pricing, and discount rules your AI uses
  • Disclosing to your customers that they may be interacting with an AI, where required by law
  • Monitoring AI conversations for accuracy and appropriateness

While our AI is designed to follow your configuration, it generates responses dynamically. We don't guarantee that every AI response will be perfectly accurate. You should maintain human oversight appropriate to your industry and use case.

5. Data Ownership & Processing

Your data stays yours. You retain full ownership of all data you upload, generate, or process through the platform — including contacts, conversations, deals, and recordings.

We're a processor, not a controller. For customer communication data (messages, calls, contact information), you are the data controller. We act as a data processor, handling data strictly to provide the service.

No selling. We will never sell, rent, or trade your data or your customers' data to third parties.

No training on your data. Your conversations and customer data are not used to train our AI models or improve our general AI capabilities.

Data portability. You can export your data at any time via CSV export or our API. If you close your account, you'll have 30 days to export before data is deleted.

6. Payment Terms

Free plan: Available with limited features. No credit card required. We may modify free plan limits with 30 days' notice.

Paid plans: Billed monthly or annually as selected at checkout. Prices are in USD unless otherwise stated. Annual plans are billed upfront for the full year.

Price changes: We may adjust pricing with 30 days' notice. Price increases apply at your next renewal, not mid-cycle.

Cancellation: You can cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period. You retain access until then.

Refunds: We don't provide refunds for partial billing periods. For annual plans cancelled within the first 14 days, we offer a full refund.

Failed payments: If a payment fails, we'll retry and notify you. After 14 days of failed payments, your account may be downgraded to the free plan.

7. Service Availability

We target 99.9% uptime for the Rivion platform. However, we don't guarantee uninterrupted service. Things that may cause downtime include:

  • Scheduled maintenance (communicated at least 24 hours in advance via email and status page)
  • Third-party service disruptions (WhatsApp API, Meta, Telegram, payment gateways)
  • Emergency security patches
  • Events beyond our reasonable control (force majeure)

Current platform status is available at our status page. We'll notify you of significant outages via email.

8. Intellectual Property

Our IP: The Rivion platform, brand, logo, documentation, and all underlying technology are owned by Inventum Technologies Pty Ltd. These Terms grant you a limited, non-exclusive, revocable license to use the platform for your internal business purposes.

Your IP: You retain all rights to your content, data, and brand assets uploaded to the platform. You grant us a limited license to process this data solely to provide the service.

Feedback: If you provide suggestions, feature requests, or feedback, we may use these to improve the platform without obligation or compensation.

9. Third-Party Services

Rivion integrates with third-party platforms (WhatsApp Business API, Meta, Telegram, Razorpay, Stripe, and others). Your use of these integrations is subject to their respective terms of service. We're not responsible for the availability, accuracy, or policies of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Rivion's total liability for any claim arising from these Terms or your use of the platform is limited to the amounts you paid to us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • We are not liable for actions taken by AI agents that you configured and deployed
  • We are not liable for disruptions caused by third-party services (WhatsApp, Meta, payment gateways)

These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise).

11. Indemnification

You agree to indemnify and hold harmless Inventum Technologies Pty Ltd, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the platform (including AI agent actions)
  • Your violation of any law or third-party rights
  • Content you upload or process through the platform

12. Suspension & Termination

By you: You can close your account at any time from settings. Data deletion follows the schedule in our Privacy Policy.

By us: We may suspend or terminate your account if you violate these Terms, use the platform for illegal purposes, fail to pay, or if your usage poses a security risk. We'll provide notice and an opportunity to remedy the issue when practical.

Effect of termination: Upon termination, your license to use the platform ends. You have 30 days to export your data. After 30 days, your data will be permanently deleted.

13. Dispute Resolution

We prefer to resolve disputes informally first. If you have a concern, email legal@rivion.ai and we'll work to resolve it within 30 days.

If informal resolution fails, disputes will be resolved under the laws of Australia, and the courts of Australia shall have exclusive jurisdiction — unless you're entitled to an alternative jurisdiction under mandatory consumer protection laws.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date and notify you via email for material changes. Continued use of the platform after changes constitutes acceptance.

If you disagree with the changes, you may close your account before they take effect.

15. General

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rivion.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

No waiver: Our failure to enforce any right doesn't constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
